Synario Customer Referral Program
Terms and Conditions
- Program Description.
Synario Customer Referral Program (“Program”) begins on January 1st, 2021 (“Program Period").
The sponsor of this Program is PFM Solutions LLC (“Synario"). This Program is open to any institution, political body, or corporate entity that is an existing Synario customer (“Participant") who refers an institution, political body, or corporate entity that becomes a new customer of Synario (“Qualified Referral”), with a minimum of one (1) Power User and a minimal initial term of 30 months as defined in an executed Synario Software Subscription Agreement (“Qualified Referral Agreement”). Upon the execution of a Qualified Referral Agreement, Participants have the opportunity to earn institutional subscription fee credits (“Rewards”).
By participating in the Program, each Participant unconditionally accepts and agrees to comply with and abide by these Terms and Conditions and decisions of Synario, which shall be final and binding in all respects. Synario is responsible for the collection, submission, and processing of Qualified Referrals and the overall administration of the Program. Participants should look solely to Synario with any questions, comments or problems related to the Program. - Program Rewards.
Subject to change in the sole discretion of Synario, Rewards are defined as;
- A one-time credit applied against the Participant’s Annual Licensing Fees payable under their Synario Software Subscription Agreement (the “Participant Agreement”) in the next-ensuing billing year;
- For any individual Qualified Referral, Rewards will equal the lesser of $5,000 or 10% of annual Licensing Fees;
- Participants may earn Rewards for multiple Qualified Referrals;
- For multiple Qualified Referrals, aggregate Rewards will not exceed the total Licensing Fees payable under the remaining term of the Participant Agreement;
- To earn Rewards, Participant cannot be arrears on any outstanding invoice under the Participant Agreement;
- Rewards may only be applied through the earlier Termination Date of the Participant Agreement and the Qualified Referral Agreement;
- In no case will Rewards constitute a cash payment of any kind to the Participant or Qualified Referral.
- How to Register.
Participant can register for the Program online during the Program Period by completing the entry form, which can be found on the Synario website at URL HERE. Participant will: (1) provide the name, email address, and telephone number of an individual contact at the Participant institution; (2) provide the name, email address, and telephone number of an individual contact at the Qualified Referral institution; and (3) accept these Terms and Conditions, collectively the “Registration Information.” There may be only one Participant per Qualified Referral, as determined by the date and time stamp at registration. A given registration is valid for up to one year after submission.
Upon registration, the Qualified Referral will be contacted by Synario and provided a non-bonding opportunity to opt-in to a sales process. Participant will be notified that this contact has been initiated and whether the Qualified Referral has opted into the sales process.
Synario reserves the right to disqualify a Participant or Qualified Referral at any time from participation in the Program if they do not comply with these Terms and Conditions.
- Reward Notification.
Participants will be notified of Rewards and the expected credit application date(s) by email at the email address provided in the Registration Information after the execution of the Qualified Referral Agreement.
- Reward Disbursement.
Upon execution of the Qualified Referral Agreement, the Reward will be applied against the Participant’s Annual Licensing Fees payable under their Participant Agreement in the next-ensuing billing year.
- No fraudulent activity or illegal participation.
Participants and Qualified Referrals must be permitted to participate in the Program under applicable law, rule and regulation, policy, code, or other governing protocol. Synario reserves the right to void Participants, Qualified Referrals, and attendant Rewards if we suspect that they were earned in a fraudulent manner, in a manner that violates these Terms and Conditions, or in a manner otherwise not intended by Synario. Participants and Qualified Referrals agree that they will not participate in this Program in a threatening, abusive, illegal, or unsportsmanlike manner.
- Limitations on liability.
By participating in the Program, Participants and Qualified Referrals agree that Synario will have no liability and that you will indemnify and hold Synario harmless for any claim, action, liability, loss, injury, or damage to the Participant or Qualified Referral, or any other person or entity, due in whole or in part, directly or indirectly, by reason of participation in the Program. Participants and Qualified Referrals will not settle any claim without the prior written consent of Synario. Further, Participants and Qualified Referrals agree that Synario is not responsible for faulty referral links, any error, omission, interruption, defect or delay in transmission, order processing, or communication; technical or mechanical malfunctions; errors in these terms, in any Program-related materials; human-processing error; failures of electronic equipment, computer hardware or software; damage to your equipment, computer hardware or software, or inaccurate information, whether caused by equipment, programming, human error, or otherwise.
